PurpleLab \u2014 Terms of Service<\/b> Last updated: May 26, 2026<\/b><\/p>

1. Agreement<\/span><\/h2>

These Terms of Service (“Terms”) govern your access to and use of the PurpleLab platform and related services (the “Services”) provided by Purpleseed LLC (“PurpleSeed,” “we,” “us”). By accessing or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business.<\/span><\/p>

2. The Services<\/span><\/h2>

PurpleSeed provides process-automation workspaces (“Pods”), customer-communication tooling, and related professional services to business customers. Features, capabilities, and limits may change over time. Some Services integrate with third-party platforms (such as the WhatsApp Business Platform from Meta), and your use of those integrations is also subject to the third party’s terms.<\/span><\/p>

3. Accounts and Eligibility<\/span><\/h2>

You must provide accurate account information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. The Services are intended for business use by users who are at least 18 years old.<\/span><\/p>

4. Customer Data and Your Responsibilities<\/span><\/h2>

You retain ownership of the data you or your end customers provide through the Services (“Customer Data”). You grant us a limited license to process Customer Data solely to provide and maintain the Services. You are responsible for: (a) having all necessary rights and consents to collect and process Customer Data, including end-customer consent to be contacted on messaging channels; (b) complying with applicable laws and with the policies of any connected platform (including Meta’s and WhatsApp’s policies); and (c) the content of messages sent through the Services.<\/span><\/p>

5. Acceptable Use<\/span><\/h2>

You agree not to use the Services to: send spam or unsolicited messaging in violation of applicable law or platform policy; transmit unlawful, harmful, or infringing content; attempt to gain unauthorized access to the Services or related systems; reverse engineer or disrupt the Services; or violate the rights of others. We may suspend access for violations or to protect the Services.<\/span><\/p>

6. Third-Party Platforms<\/span><\/h2>

The Services interoperate with third-party platforms you choose to connect. We are not responsible for those platforms, their availability, or changes they make. Connecting a platform authorizes us to access and process data from it as needed to provide the Services. You remain responsible for compliance with each platform’s terms.<\/span><\/p>

7. Fees<\/span><\/h2>

Fees, activation charges, and recurring service amounts are as agreed in your order or service agreement. Unless stated otherwise, fees are non-refundable. We may change pricing prospectively with reasonable notice.<\/span><\/p>

8. Intellectual Property<\/span><\/h2>

The Services, including the platform, software, and PurpleLab branding, are owned by PurpleSeed and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services; no other rights are granted.<\/span><\/p>

9. Disclaimers<\/span><\/h2>

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or that messages will always be delivered, as delivery depends on third-party platforms.<\/span><\/p>

10. Limitation of Liability<\/span><\/h2>

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PURPLESEED WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE THREE MONTHS PRECEDING THE CLAIM.<\/span><\/p>

11. Indemnification<\/span><\/h2>

You agree to indemnify and hold PurpleSeed harmless from claims, damages, and expenses arising from your Customer Data, your use of the Services, or your violation of these Terms or applicable law or platform policy.<\/span><\/p>

12. Term and Termination<\/span><\/h2>

Either party may terminate as set out in the applicable service agreement. We may suspend or terminate access for non-payment, violation of these Terms, or as required by law or platform policy. Upon termination, your right to use the Services ends; provisions that by their nature should survive will survive.<\/span><\/p>

13. Governing Law<\/span><\/h2>

These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict-of-laws principles. Disputes will be subject to the courts located in North Carolina, unless otherwise required by applicable law.<\/span><\/p>

14. Changes to These Terms<\/span><\/h2>

We may update these Terms from time to time. We will revise the “Last updated” date and, where appropriate, provide additional notice. Continued use after changes become effective constitutes acceptance.<\/span><\/p>
